Why did SKYD drop ~$2.20/share on the warrant distribution when the dilution math only supports ~$0.19?

From what I gather, SKYD has about 1.12B shares outstanding and up to ~5.04B fully diluted. 470.7M warrants were distributed ($12 strike), which is roughly 9% of the diluted count. But the stock fell about $2.20 (from $9.27 to ~$7.06) the day the warrants began trading separately.

If the warrants only dilute ~9-10%, why did the stock drop about 10x what the dilution supports? It’s as if the whole company got diluted rather than ~10% of it. It feels like the drop happened and got rationalized in the moment, and looking back the numbers don’t line up. Am I missing something about the share count or how the warrants are valued?

Google's News AI Partnerships Surpass 400 Media Outlets; CNN Among New Participants Receiving Compensation

Google announced on the 15th that its "News AI" pilot program, which pays news organizations for use of their articles, has reached more than 400 participating media outlets worldwide. CNN, the Financial Times, Forbes, and Axios are among the new participants, marking CNN's first partnership since Paramount Skydance completed its acquisition of Warner Bros. Discovery. Participating companies grant Google expanded content usage rights, which the company uses to develop AI features such as article summaries and audio briefings. Contract amounts have not been disclosed. News organizations are simultaneously pursuing litigation against AI companies and commercial partnerships, seeking to secure licensing revenue as a response to declining search-driven traffic.

Skydance Changes the Rules of Competition

With the $110 billion merger of Paramount and Warner Bros. Discovery officially complete, David Ellison now controls a media giant spanning two major film studios, CBS, CNN, HBO, streaming services and some of television’s most valuable sports rights. The deal gives Skydance greater scale to compete with Disney, Netflix, Amazon and other media giants, while strengthening its negotiating leverage over programming, distribution and advertising.

But there’s a contradiction at the heart of the merger: Skydance is meant to make traditional media more competitive against Big Tech, even as its creation reduces the number of independent competitors within traditional media itself.

Consider the streaming business. Paramount+ and HBO Max spent years competing for subscribers and programming. Bringing them together could give Skydance a stronger offering against Netflix and Disney while potentially simplifying the choices facing viewers.

The implications extend to traditional television.

CBS and CNN now belong to the same corporate family, giving Skydance reach across broadcast, cable and digital news. The two organizations will remain editorially independent, according to company executives, but they still compete for audiences, advertising and talent. Both also face the challenge of reaching viewers beyond traditional television.

Meanwhile, CBS Sports and TNT Sports bring together major rights packages, including the NFL, March Madness, Major League Baseball and the NHL. Those properties become especially valuable when viewed alongside Skydance’s broader television and streaming portfolio.

The way reddit's AI described r/mediamergers is pretty funny

Post image
6 Upvotes

It just goes to show how far r/MediaMergers has fallen. What was supposed to be a subreddit dedicated to discussing M&A across the media industry has turned into a community obsessively fixated on a single merger.

Now they spend their days dissecting Skydance's debt and practically fantasizing about the company's financial collapse, seemingly oblivious to the fact that Warner Bros. Pictures wouldn't magically emerge unscathed from the downfall of its own parent company.

At this point, it feels less like a subreddit about media mergers and more like a community actively rooting for one particular deal to fail, regardless of the consequences.

Pretty fucking sad.

(By the way, they banned me because they couldn't deal with the truth)

Paramount Shareholders to Get Stock Warrants in Huge Financing Deal for Warner Acquisition

Paramount

Skydance shareholders are getting special rights to buy more stock as the company nears the finish line of its $80 billion deal to purchaseWarner Bros. Discovery.

The megamerger is expected to close on Tuesday.

To help fund the deal, the company is due to sell $47 billion of additional shares next week, on top of this week’s $52 billion debt sale. It will also give current Paramount public shareholders stock warrants—which are long-term options that allow them to buy the stock at a set price—alongside the coming equity offering.

The total deal value for Warner is about $110 billion including debt.

Combine, bundle, keep seperate?

What's your opinion on what Skydance should do with the streaming services? IMO the best move would be to keep the brands separate but move them all onto one platform, with each having its own channel. Viewers can still keep their HBO Max subscription and only watch that, but they're going to see all the other content available, might get interested, and buy that channel as well or get an all-access subscription. It would be a great opportunity for cross-selling, and as a consumer myself, I would appreciate an all-in-one platform just for the convenience and better pricing.

I think it would be the best option for the consumer and for profit.
